Terms of Service

These Terms govern business and organizational access to and use of Kriqy.

These Terms of Service ("Terms") govern access to and use of Kriqy, a business-to-business software service operated by Krijyo Growth Solutions, Whitefield, Bengaluru, Karnataka, India ("Kriqy," "we," "us," or "our").

By accessing or using Kriqy on behalf of an organization, you agree to these Terms and represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use the service.

1. Kriqy Service

Kriqy provides software designed to help organizations listen to employee feedback, manage actions, demonstrate organizational responses, communicate outcomes and measure impact.

Features may include employee feedback, analytics, action management, reporting, communications, employer-branding workflows and related functionality.

We may improve, modify or update the service from time to time.

2. Business Use and Eligibility

Kriqy is intended for business and organizational use.

You must be at least 18 years old to create an account or enter into an agreement to use Kriqy.

If you use Kriqy on behalf of an organization, you represent that:

  • you are authorized to do so;
  • the information you provide is accurate;
  • your organization's use of Kriqy is lawful; and
  • you have authority to accept these Terms on its behalf.

3. Accounts and Security

Customers and users are responsible for maintaining the confidentiality and security of account credentials.

You must:

  • provide accurate account information;
  • maintain appropriate access controls;
  • promptly remove access when a user is no longer authorized;
  • use reasonable security practices; and
  • notify Kriqy promptly if you reasonably suspect unauthorized account access.

You may not share credentials in a manner that circumvents applicable account or licensing restrictions.

Kriqy may suspend access where reasonably necessary to protect the service, users or customer data.

4. Customer Data

"Customer Data" means information, content and data submitted to, stored in, transmitted through or otherwise processed through Kriqy by or on behalf of a customer.

As between Kriqy and the customer, the customer retains its rights in Customer Data.

The customer authorizes Kriqy to process Customer Data as necessary to:

  • provide the service;
  • maintain and secure the service;
  • provide support;
  • comply with documented customer instructions;
  • comply with applicable law; and
  • perform other processing expressly permitted by the applicable agreement.

Kriqy does not acquire ownership of Customer Data merely because it is processed through the service.

5. Customer Responsibilities

The customer is responsible for determining whether Kriqy is appropriate for its intended use.

Customers must:

  • comply with applicable privacy, employment and labor laws;
  • have an appropriate lawful basis for processing employee information;
  • provide legally required notices;
  • obtain legally required permissions or consents;
  • configure authorized users appropriately;
  • ensure Customer Data is collected and submitted lawfully;
  • use Kriqy outputs responsibly; and
  • respect employee privacy and anonymity.

Customers remain responsible for employment and organizational decisions made using information obtained through Kriqy.

6. Anonymous Employee Feedback

Certain Kriqy functionality may be expressly designated as anonymous.

For applicable aggregated reporting, Kriqy applies a minimum reporting threshold of five respondents before relevant aggregated results are displayed.

Customers and authorized users must not:

  • attempt to circumvent anonymity safeguards;
  • attempt to identify anonymous respondents;
  • use filtering or external datasets to intentionally re-identify respondents;
  • pressure employees to reveal anonymous responses; or
  • misuse administrative access to undermine employee privacy.

A material attempt to defeat Kriqy's anonymity protections may constitute a violation of these Terms and may result in suspension or termination.

Not all Kriqy features are anonymous. Features will be treated according to their stated functionality and configuration.

7. Acceptable Use

You may not use Kriqy to:

  • violate applicable law;
  • unlawfully discriminate against employees;
  • harass, threaten or harm another person;
  • unlawfully monitor employees;
  • identify individuals who were promised anonymity;
  • upload information you do not have authority to process;
  • distribute malware or malicious code;
  • interfere with the operation or security of Kriqy;
  • bypass security controls;
  • gain unauthorized access to systems or data;
  • perform unauthorized security testing;
  • scrape or extract data except through authorized functionality;
  • reverse engineer the service except where applicable law expressly prohibits restricting that activity;
  • use Kriqy to build or benchmark a competing product in violation of applicable law or contractual restrictions; or
  • resell or sublicense the service without written authorization.

8. AI and Analytics

Kriqy may provide automated analysis, summaries, recommendations, classifications or other AI-assisted functionality.

Such outputs are informational tools and may contain errors or require human interpretation.

Customers are responsible for reviewing outputs before relying on them.

Unless expressly agreed otherwise, Kriqy should not be used as the sole basis for hiring, termination, promotion, compensation, disciplinary or other decisions producing legal or similarly significant effects concerning individuals.

Kriqy does not warrant that automated outputs will always be complete, accurate or appropriate for every organizational context.

9. Intellectual Property

Kriqy and its associated software, designs, interfaces, branding, documentation, technology and other proprietary materials are owned by Krijyo Growth Solutions or its licensors and are protected by applicable intellectual-property laws.

Subject to the applicable agreement, Kriqy grants the customer a limited, non-exclusive, non-transferable right to access and use the service during the applicable subscription period for internal business purposes.

No ownership rights in Kriqy's intellectual property are transferred to the customer.

10. Feedback About Kriqy

If you voluntarily provide ideas, suggestions or feedback concerning Kriqy, you grant Krijyo Growth Solutions the right to use that feedback to improve and develop its products and services without an obligation to compensate you.

This section does not transfer ownership of Customer Data or employee feedback submitted through the Kriqy service.

11. Privacy and Data Protection

Our Privacy Policy explains our privacy practices.

Where Kriqy processes personal data on behalf of a customer, additional data-processing terms may apply.

Customers subject to GDPR or similar processor-contract requirements may request an applicable Data Processing Agreement from:

12. Confidentiality

Each party may receive non-public information belonging to the other party.

Each party will use reasonable measures to protect confidential information and will use it only for purposes related to the service or applicable agreement.

Confidentiality obligations do not apply to information that:

  • becomes public without breach of an obligation;
  • was lawfully known without confidentiality restrictions;
  • is independently developed without use of confidential information; or
  • is lawfully obtained from another source without confidentiality restrictions.

Disclosure may be made where required by law, subject to legally permitted notice where appropriate.

13. Third-Party Services

Kriqy may rely on or integrate with third-party infrastructure, software or services.

Third-party services may be governed by their own terms and privacy practices.

Kriqy is not responsible for third-party products or services that customers independently choose to use, except to the extent responsibility cannot lawfully be excluded or is expressly assumed under an agreement.

14. Fees and Payment

Paid Kriqy services are subject to the pricing, subscription period and payment terms presented when purchasing the service or specified in an applicable order form or agreement.

Unless otherwise stated in writing:

  • fees are exclusive of applicable taxes;
  • customers are responsible for applicable taxes other than taxes based on Kriqy's net income;
  • payment obligations are non-cancellable during the applicable committed subscription period; and
  • fees paid are non-refundable except where required by law or expressly provided in an applicable agreement.

Specific enterprise agreements may contain different commercial terms.

15. Trials and Beta Features

Kriqy may offer trials, previews, experimental or beta functionality.

Such functionality may be modified or discontinued and may be subject to additional limitations.

Unless otherwise agreed, beta or preview functionality is provided for evaluation and should not be relied upon for critical production purposes.

16. Service Availability

We aim to operate Kriqy reliably but do not guarantee uninterrupted or error-free availability.

Service may occasionally be unavailable because of:

  • maintenance;
  • upgrades;
  • infrastructure failures;
  • security incidents;
  • third-party failures;
  • events beyond our reasonable control; or
  • emergency maintenance.

Any specific service-level commitments must be set out in a separate written agreement.

17. Suspension

Kriqy may suspend access where reasonably necessary because of:

  • material breach of these Terms;
  • security threats;
  • suspected unauthorized access;
  • unlawful use;
  • attempts to defeat anonymity safeguards;
  • overdue payment obligations; or
  • circumstances that reasonably threaten Kriqy, customers, employees or third parties.

Where reasonably practicable, we will attempt to provide notice and an opportunity to resolve the issue.

18. Termination

Either party may terminate according to the applicable subscription, order form or written agreement.

Kriqy may terminate access for material breach where the breach is incapable of remedy or is not remedied within a reasonable period after notice, where notice is appropriate.

Upon termination, rights to use the service cease.

Customer Data will be handled according to applicable contractual commitments, documented retention procedures and legal requirements.

19. Warranties

Kriqy will provide the service with reasonable care and skill.

Except for warranties expressly stated in an applicable written agreement and to the maximum extent permitted by law, the service is provided on an "as available" basis.

Kriqy does not warrant that:

  • the service will always be uninterrupted;
  • every error will be corrected immediately;
  • analytics or AI-generated outputs will always be accurate; or
  • use of the service will produce a particular business or employment outcome.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

20. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, punitive or consequential damages, or for loss of profits, revenues, goodwill or business opportunity arising from use of the service, except where such exclusion is prohibited by law or otherwise agreed in writing.

To the maximum extent permitted by applicable law, Krijyo Growth Solutions' aggregate liability arising from or relating to the service during any twelve-month period will not exceed the fees paid or payable by the customer to Krijyo Growth Solutions for the service during the twelve months immediately preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot lawfully be limited or excluded.

A separate enterprise agreement may establish different liability terms.

21. Indemnification

To the extent permitted by applicable law, the customer will indemnify and hold Krijyo Growth Solutions harmless from third-party claims arising from:

  • unlawful Customer Data;
  • the customer's unlawful use of Kriqy;
  • violation of applicable employment or privacy law by the customer;
  • unauthorized attempts to identify anonymous respondents; or
  • material violation of these Terms,

except to the extent the claim was caused by Krijyo Growth Solutions' own breach, negligence or unlawful conduct.

22. Changes to the Service or Terms

We may modify the service as it evolves.

We may also update these Terms.

If a change materially affects existing customer rights or obligations, we will provide reasonable notice where required by law or contract.

Continued use after updated Terms become effective constitutes acceptance where legally permitted.

23. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory law, contractual dispute-resolution mechanism or mutually agreed arbitration provision, courts having jurisdiction in Bengaluru, Karnataka, India will have jurisdiction over disputes arising from these Terms.

Nothing in this section limits rights or remedies that cannot lawfully be restricted.

24. General Terms

If any provision is held unenforceable, the remaining provisions remain in effect.

Failure to enforce a provision does not waive the right to enforce it later.

Customers may not assign their rights under these Terms without Kriqy's consent except as permitted under an applicable written agreement or law.

Kriqy may assign these Terms in connection with a merger, acquisition, corporate restructuring or sale of substantially all relevant assets.

These Terms, together with applicable order forms, policies and written agreements, constitute the applicable agreement concerning the service.

Where an executed enterprise agreement conflicts with these Terms, the executed agreement will control to the extent of the conflict.
